Education Perfect Limited – Standard Terms and Conditions for Business users<\/h1>\n

Application<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]1.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Terms<\/b>. Unless otherwise expressly agreed in writing by Education Perfect Limited (NZCN 6584033) (<\/span>Education Perfect<\/b>), the terms and conditions set out in this document (<\/span>Terms<\/b>) apply to all subscriptions by a customer (<\/span>Customer<\/b>) to use Education Perfect\u2019s online learning platform, software and related components, products and services including all competitions operated by Education Perfect (<\/span>Online Learning Tool<\/b>). By accessing and using the Online Learning Tool, or providing it to other persons, including teachers\/trainers, students\/learners and parents (<\/span>Users<\/b>), to use in accordance with these Terms, the Customer agrees to comply with these Terms and to ensure that each User complies with these Terms (to the extent applicable) and any additional terms set out in the subscription form agreed with the Customer (<\/span>Subscription Form<\/b>). These Terms and the Subscription Form are legally binding on the Customer.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]2.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Subscription<\/strong><\/h4>\n

The Customer may agree to subscribe to the Online Learning Tool by completing and submitting a Subscription Form, in the prescribed form and on the terms approved by Education Perfect. Each validly completed and executed Subscription Form sent by a Customer to Education Perfect will constitute an offer which will be capable of acceptance by Education Perfect upon written confirmation to the Customer or upon Education Perfect providing the Customer with access to the Online Learning Tool. Education Perfect may make available an online portal for Customers to submit an online Subscription Form which will also be subject to these Terms and where applicable, the Data Processing Addendum. Education Perfect may in its sole discretion accept or decline a Subscription Form in whole or in part.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]3.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Term<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]3.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Subscription Period<\/b>. Unless otherwise agreed in writing by Education Perfect, the subscription period will be the period set out in the Subscription Form (Subscription Period), typically on an annual basis. If no Subscription Period is stated in a Subscription Form, a Customer will be provided with 12 months\u2019 access to the Online Learning Tool on the terms set out in the Subscription Form, or such other period agreed in writing with Education Perfect.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]3.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Renewal<\/b>. The Customer agrees that its subscription to the Online Learning Tool will automatically renew for a further 12 months upon expiry of the Subscription Period. These Terms will continue to apply to any renewed period, provided that the Customer pays Education Perfect the agreed fees in the Subscription Form or as notified in writing to the Customer for the additional term. The Subscription Period will not be automatically renewed if either party gives at least 30 days\u2019 written notice to the other party prior to the expiry of the current Subscription Period.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Price and Payment<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Price<\/b>. The price payable for a Customer\u2019s subscription to the Online Learning Tool (<\/span>Price<\/b>) will be (i) the price set out in the Subscription Form or otherwise agreed in writing between Education Perfect and the Customer; or (ii) in the absence of agreement, Education Perfect\u2019s standard prices applicable at the time the relevant Subscription Form is accepted by Education Perfect.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Payment<\/b>. The Price will be payable by the Customer: (i) on or before the date(s) agreed in writing between Education Perfect and the Customer, in the manner specified by Education Perfect; or (ii) in the absence of agreement, 30 days from the date of invoice (<\/span>Due Date<\/b>). Unless expressly stated in writing, all amounts payable to Education Perfect will be exclusive of goods and services tax (<\/span>GST<\/b>).<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Additional Users.<\/strong> In the event that the Customer enrols a greater number of Users than is set out in the Subscription Form, this will be deemed a variation to the Subscription Form and Education Perfect will issue the Customer with an invoice for the additional Users at the Price per User as set out in the Subscription Form.[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Termination of or <\/b>Changes to Subscription Plan and\/or Pricing.<\/b> We reserve the right to change our subscription plans <\/span>(being at our option a subscription plan which is part of the Online Learning Tool or the whole Online Learning Tool as shall be detailed in our notice to you (\u201c<\/span>Subscription Plan<\/b>\u201d) <\/span>and price of our service upon written notice to the Customer in once or two circumstances in our sole discretion\u00a0 (a) within a reasonable timeframe of contract renewal. (<\/span>Change Notice<\/b>)\u00a0 If you have an existing subscription, we will honour the <\/span>s<\/span>S<\/span>ubscription <\/span>p<\/span>P<\/span>lan and pricing applicable to the Customer\u2019s subscription until the current Subscription Period expires, or (b) following renewal and during an existing Subscription Plan we may elect notwithstanding clause 4.4(a) <\/span>or clause 8, <\/span>to serve 30 days notice to terminate an existing Subscription Plan <\/span>(or any part of it as detailed in our written notice) at any time and <\/span>prior to the end of what would have been its Subscription Period<\/span>,<\/span> but for our notice to terminate. <\/span>Once that notice is served the Subscription Period shall be determined by the period stated in the notice and any reference to Subscription Period in the Subscription Form or otherwise these Terms shall be construed accordingly. <\/span>\u00a0If we exercise the right to terminate according to this clause 4.4<\/span>(b) then you must ensure and are solely responsible for downloading any Customer Generated Materials or other data or materials which are expressly\u00a0 available to you to download if you require them in relation to the Subscription Plan which you need and which is being terminated, prior to the notified end of that Subscription Plan and once the Subscription Period has ended we can not be held responsible for retrieving any such Customer Generated Materials or other data or materials for you .\u00a0 We may choose to give you more than 30 days notice or at our discretion to allow you a longer period of time to use that Subscription Plan, as will be stated in any notice sent to you. If we exercise our rights under clause 4.4(b) then the provisions of clause 4.7 shall apply in respect of any of the Price that you have paid in advance calculated from the date that we state in the notice that the Subscription Plan ends to what would have been the end of that current Subscription Plan had we not ended it earlier.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Customer Response<\/b> to a Change Notice<\/b>.<\/b> Upon receiving any Change Notice, the Customer may choose to accept the new pricing or cancel the subscription in accordance with the contract’s termination\/cancellation provisions set out in clause 3.1. If a cancellation notice is not received in accordance with clause 3.1, the Customer shall be deemed to have accepted the terms specified in the Change Notice.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Failure to Pay<\/b>. If the Customer fails to pay any amount due to Education Perfect on or before the Due Date, Education Perfect will be entitled to charge interest on any amount overdue for payment by the Customer until payment of that amount is received in full, together with any costs (legal or otherwise) incurred by Education Perfect relating to the payment of the overdue amount. Education Perfect may in its discretion charge interest on any overdue amount at the rate of 2% per calendar month compounded monthly. This provision shall not constitute a waiver of any default and the default interest is not an extension of credit to the Customer.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]4.7[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]No Refund<\/b> Except as Stated Herein<\/b>. The Customer will not be entitled to a refund or reduction of the Price if the Customer chooses to cancel its subscription of the Online Learning Tool before the end of the Subscription Period.<\/span>\u00a0 Where Education Perfect exercises its rights to terminate the Subscription Plan and the Subscription Period under clause 4.4(b), you will be entitled to a pro-rata refund of sums concerning the Price that you have paid to Education Perfect in advance in respect only of the whole or part (as applicable) of the Subscription Plan that Education Perfect has terminated under clause 4.4(b) which pro-rata refund of the Price is calculated as from the date in the notice that Education Perfect gave you as being the end of the Subscription Plan affected and calculated and from that date, to what would have been the remaining period of the then current Subscription Period that you actually have paid for and in respect of the specific Subscription Plan you subscribed for which has been so terminated early. This pro-rata refund is only in respect of sums for the Price we have actually been paid by you in advance for a Subscription Plan we terminate under clause 4.4(b) and which were paid by you prior to us exercising those rights under clause 4.4(b).<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Permitted Access and Use<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Licence<\/b>. Upon receipt of payment of the Price by the Customer, Education Perfect will grant to the Customer a limited, nonexclusive, non-transferable licence to access the Online Learning Tool for the Subscription Period in accordance with these Terms. The Customer may procure access to the Online Learning Tool is made available to such number of Users specified in the Subscription Form, but to no other persons without the prior written consent of Education Perfect. The Customer shall provide all necessary details of Users to Education Perfect for the purpose of enabling access to the Online Learning Tool and will promptly notify Education Perfect when any User account should be disabled (e.g. because a User leaves the school\/organisation or is otherwise no longer permitted to access the Online Learning Tool).<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Intellectual Property.<\/strong>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.2.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]The Customer acknowledges that, as between Education Perfect and Customer, Education Perfect owns all of the intellectual property rights (whether registered or unregistered) relating to the Online Learning Tool (<\/span>Intellectual Property<\/b>) and all rights and title to any development or improvement in the Online Learning Tool or the Intellectual Property (<\/span>Developed IP<\/b>). The Customer acknowledges that it will not at any time acquire any right, title or interest in any kind in the Intellectual Property or the Developed IP relating to the Online Learning Tool.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.2.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Where the Customer generates or uploads new content on the Online Learning Tool (<\/span>Customer Generated Content<\/b>), the Customer retains the ownership in the intellectual property that is generated. By posting or otherwise providing Customer Generated Content to or through the Online Learning Tool, the Customer grants Education Perfect a non\u2010exclusive, royalty\u2010free, transferable, irrevocable, perpetual (or if not permitted under applicable laws, for the term of your use of our Services plus twenty (20) years) worldwide license and right to use, display and otherwise make available such Customer Generated Content on the Online Learning Tool for the purpose of providing the Online Learning Tool. Where the Customer has also chosen to share such Customer Generated Content with other users of the Online Learning Tool, the Customer grants Education Perfect, and any other such users with whom Customer Generated Content is shared, a non\u2010exclusive, royalty\u2010free, transferable, irrevocable, perpetual (or if not permitted under applicable laws, for the term of your use of our Services plus twenty (20) years) worldwide license and right to use, display, publicly perform, reproduce, distribute, publish, modify, adapt, translate, create derivative works of, make available and sublicense and otherwise use and exploit such Customer Generated Content. The Customer represents and warrants that it owns and controls all of the rights to the Customer Generated Content, and has the lawful right to post the Customer Generated Content on the Online Learning Tool and otherwise provide Education Perfect with the Customer Generated Content.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Aside from the rights specifically granted in these Terms, the Customer retains ownership of all Intellectual Property Rights in your Customer Generated Content. Where applicable and permitted under applicable law, the Customer also agrees to waive any \u201cmoral rights\u201d (or the equivalent under applicable law) such as the Customer’s right to be identified as the author of any Customer Generated Content, and your right to object to derogatory treatment of such Customer Generated Content.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Use of Results.<\/strong>\u00a0The Customer agrees that Education Perfect may use the results of User tests, exams and other assessments conducted via the Online Learning Tool for research and development and other reasonable commercial purposes, on a fully anonymized and de-identified basis such that the materials no longer contain personal data. Education Perfect will comply with applicable privacy laws and the Privacy Notice<\/a> in connection with the use of personal information relating to a User which has been collected from the Online Learning Tool.[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Modification of Content.<\/strong> The Customer acknowledges that any modification of content in the Online Learning Tool made by the Customer or any User is the responsibility of the Customer and made at its own risk. The Customer agrees to indemnify Education Perfect in full upon demand for any loss or damage incurred by Education Perfect (or its affiliates) as a result of any claim or action commenced in relation to the use of third party information or breach of third party intellectual property rights relating to the use or modification of the Online Learning Tool.[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]5.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Suspension of Access.<\/strong> If Education Perfect believes in its sole opinion that the Online Learning Tool is at risk or subject to damage for any reason, including (without limitation) due to the manner of its use by a Customer or any external event impacting the security of the Online Learning Tool, Education Perfect may immediately suspend or terminate access to the Online Learning Tool in respect of any or all Customers and Users for such period of time deemed necessary to protect the Online Learning Tool from damage.[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Undertakings and Acknowledgments<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Ownership and Risk<\/b>. The Customer acknowledges that Education Perfect (and its related companies, as applicable) is the exclusive owner of the Online Learning Tool and the Online Learning Tool (including its content, but except any Customer Generated Content) remains the property of Education Perfect at all times, subject to any validly existing third party rights at law. The Customer must not sell, dispose, grant any third party right or licence or part with possession or do anything else inconsistent with Education Perfect\u2019s ownership of the Online Learning Tool.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Third Party Products<\/b>. The Customer acknowledges and agrees that any third party branded online learning products, software and related components and services or any other products or services offered under your subscription which have been identified as being owned and operated by a third party (Third Party Products) do not form part of the Online Learning Tool provided by Education Perfect. Third Party Products are provided by the relevant third party to the Customer on and subject to that third party\u2019s terms and conditions which will be made available to you. The Customer agrees that its access to Third Party Products is governed by the relevant third party terms and conditions and that it will ensure compliance with them at all times in connection with the Third Party Products. Education Perfect is not responsible for, and disclaims all liability in relation to, Third Party Products, including (without limitation) the performance, availability and functionality of Third Party Products and their compliance with laws and regulations from time to time (including the use of the Customer\u2019s personal information shared across Third Party Products).<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Education Perfect\u2019s Undertakings<\/b>. Education Perfect undertakes with the Customer that it will:<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.3.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]arrange for the Online Learning Tool to be available throughout the Subscription Period in good operational working order and accessible;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.3.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]provide upgrades or new versions of software (if available) from time to time to the extent considered necessary by Education Perfect; and<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.3.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]provide (by telephone and email) adequate support services for the Online Learning Tool during its business hours.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.3.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]The Customer acknowledges and agrees there may be times when the Online Learning Tool is temporarily closed for maintenance or for reasons beyond Education Perfect\u2019s control. Education Perfect does not accept any liability or responsibility for the period the Online Learning Tool is unavailable.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]No Warranties<\/b>. Whilst Education Perfect will use reasonable efforts to ensure that the data and information contained in the Online Learning Tool is accurate and appropriate, to the full extent permitted by law, Education Perfect does not accept any liability for loss or damage arising (directly or indirectly) from the Customer\u2019s or any User\u2019s use of the Online Learning Tool, including in respect of its content or any omissions from the content. The content of the Online Learning Tool is provided \u201cas is\u201d without warranties of any kind, express or implied including warranties as to its effectiveness or accuracy. The Customer acknowledges that Education Perfect makes no representation or warranty to the Customer regarding the suitability of the Online Learning Tool for use in respect of the Customer or any User. Any condition or warranty expressed or implied by law in respect of the subscription of the Online Learning Tool (including without limitation the Contract and Commercial Law Act 2017, Consumer Guarantees Act 1993, Fair Trading Act 1986 and equivalent legislation in other jurisdictions) is expressly excluded to the maximum extent permitted by law. To the full extent permitted by law, the Customer agrees to not bring or threaten to bring any claim against Education Perfect for loss or damage incurred or threatened against the Customer or arising directly or indirectly from the Customer\u2019s use of the Online Learning Tool.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Customer\u2019s Undertakings<\/b>. The Customer undertakes with Education Perfect that it will:<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not reverse engineer, reverse assemble, decompile, enhance, copy, modify or distribute the Online Learning Tool or prepare any derivative works;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]take proper and reasonable care of the Online Learning Tool and only use it for the purpose it was provided for;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]comply with Education Perfect\u2019s reasonable restrictions and instruction in relation to the use of the Online Learning Tool;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]install any upgrade, fix, patch or new version of software provided by Education Perfect as soon as reasonably possible;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]satisfy itself that the Online Learning Tool is suitable for the Customer\u2019s intended use;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not probe, scan or test the vulnerability of the Online Learning Tool or any network connected to it, nor breach the security or authentication measures on the Online Learning Tool or any network connected to it (including but not limited to distributed denial-of-service (“<\/span>DDOS<\/b>“) attacks or the introduction of viruses or other destructive code); or<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.7[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not interfere by any automatic or manual device, program, algorithm or methodology with the proper working of the Online Learning Tool or with any other User’s use of the Online Learning Tool.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.8[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]use the Online Learning Tool in a lawful manner with due regard to all laws and regulations pertaining to its use and that you will not use the Online Learning Tool in a way otherwise exploits or harms (or attempts to exploit or harm) any other person;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.9[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]adequately supervise and control use of the Online Learning Tool by Users and monitor compliance with the end user licence terms applicable to all Users;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.10[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not permit any unauthorised third party to examine, repair or in any way alter the Online Learning Tool without Education Perfect\u2019s consent;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.11[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]be responsible for ensuring that the Customer has appropriate computer hardware and software to run the Online Learning Tool;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.12[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not sell, assign, sublicence or transfer the Online Learning Tool, or otherwise part with possession of, or mortgage, charge or encumber the Online Learning Tool in any way;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.13[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]not use the Online Learning Tool in a way that infringes the rights of other Users, or restricts or inhibits any other User or person from using or enjoying the Online Learning Tool, including but not limited to actions which harass or cause distress to any other User or person;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.14[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]follow any directions from Education Perfect, government and local authorities, regulators, court orders and codes of practice relating to the use and safety of the Online Learning Tool; and<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.5.15[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]comply with all obligations and restrictions in relation to the use and control of the Online Learning Tool under these Terms.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]User Generated Content. <\/b>The Customer is responsible for ensuring that Customer Generated Content you create complies with all applicable laws, rules and regulations. The Customer expressly agree not to submit or upload any Customer Generated Content which:<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]contains material that is defamatory, discriminatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]you do not have the right to submit or upload, including where the content may infringe any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right (“<\/span>Intellectual Property Rights<\/b>“) of any party;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]impersonates any person or entity or otherwise associates, infers, or misrepresents the Customer’s affiliation with a person or entity;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]contains the personal information of any third party unless that third party has expressly consented to such use and disclosure;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]contains viruses, corrupted data, or other harmful, disruptive, or destructive files;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]constitutes unsolicited promotions, campaigning, advertising or solicitations, or other types of content which constitute “spam”; or<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]6.6.7[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]may expose Education Perfect or other Users to any harm or liability of any kind.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Education Perfect reserves the right to judge in its sole discretion whether any submitted Customer Generated Content infringes any of the above restrictions. Education Perfect has the right, but not the obligation, to monitor all conduct and content submitted to the Online Learning Tool, and may in its sole discretion remove or disable access to Customer Generated Content that breaches these Terms.<\/span><\/p>\n

If you believe that any other User’s Customer Generated Content, third party\u2019s content or Education Perfect’s content violates any applicable laws, rules or regulations, including, without limitation, any copyright laws, you should report it to Education Perfect.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]7.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Data Protection<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]7.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]The Customer hereby represents and warrants that it will comply with applicable laws related to data protection, including, if applicable, the General Data Protection Regulation (EU) 2016\/679 (\u201cGDPR\u201c). In particular, the Customer shall be responsible for ensuring that: (i) any personal data transferred by Customer to Education Perfect is done so in compliance with applicable laws; and (ii) that all users are made aware of the processing by Education Perfect for the purpose of providing the services under any subscription. Education Perfect represents and warrants that it will comply with applicable data protection laws and, where applicable, the Data Processing Addendum (available on the Education Perfect website) to the extent applicable to its processing of personal data under these Terms.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]7.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]These Terms incorporate the Data Protection Addendum<\/a> (DPA<\/strong>) when the GDPR applies to the processing of personal data on the Online Learning Tool.[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]8.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Customer Default<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]8.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]The Customer will be at fault if:<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]8.1.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text](<\/span>Failure to pay<\/b>) the Customer fails to pay an amount due under these Terms by the Due Date for payment;<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]8.1.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text](<\/span>Material breach<\/b>) the Customer breaches any material provision of these Terms or the Subscription Form (and such breach remains unremedied following 7 days\u2019 notice of such breach), including (without limitation) any unauthorised or prohibited use of the Online Learning Tool by the Customer or any User; or<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]8.1.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text](<\/span>Insolvency<\/b>) the Customer becomes insolvent, is wound up, have a receiver appointed, enter into liquidation, administration or any composition or arrangement with its creditors, or does or omits to do any act rendering the Customer liable to be placed in liquidation, administration or have a receiver appointed, commit an act of bankruptcy, cease to be of full legal capacity or dies.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]9.[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Consequences of Customer Default<\/strong><\/h4>\n

[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]9.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]<\/p>\n

Consequences<\/b>. If the Customer is in default as set out in clause 8 above then Education Perfect may do any one or more of the following: (i) charge the Customer default interest in accordance with clause 4.3; (ii) require the Customer to remedy the default in a particular manner and within a particular period; (iii) suspend or terminate the Customer\u2019s subscription with Education Perfect; (iv) de-activate the Customer\u2019s access to the Online Learning Tool; (v) at any time cancel these Terms; and (vi) exercise any rights that Education Perfect has under these Terms or that are available to Education Perfect at law.<\/span><\/h4>\n

Furthermore, Education Perfect makes no representations, warranties or guaranties, whether express or implied, that User Generated Content is accurate, complete or up to date.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Security<\/b>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.2.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]The Customer understands that Education Perfect cannot and does not guarantee or warrant that files available for downloading from the Online Learning Tool will be free of viruses or other destructive code. The Customer is responsible for implementing sufficient procedures and checkpoints to satisfy the Customer’s particular requirements for antivirus protection and accuracy of data input and output, and for maintaining a means external to the Online Learning Tool for any reconstruction of any lost data.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.2.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Without limitation to clause 10.6, Education Perfect will not be liable for any loss or damage caused by a DDOS attack, viruses or other technologically harmful material that may infect the Customer’s computer equipment, computer programs, data or other proprietary material due to your use of the Online Learning Tool or the Customer downloading of any material posted on the Online Learning Tool or on any sites linked to on the Online Learning Tool.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.3[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]External Website Links. <\/b>Without limitation to clause 10.6, Education Perfect has not reviewed all of the material made available through the other websites that the Online Learning Tool may link to. Education Perfect does not have any control over these other websites and is not responsible for their contents or their use. By linking to such other websites, Education Perfect does not represent or warrant that it endorses such websites. When the Customer leaves the Online Learning Tool, Education Perfect’s terms and policies (including these Terms) no longer apply. The Customer should review applicable terms and policies, including privacy and data gathering practices, of any other websites and perform the Customer’s own investigations before entering into any transactions with any third parties.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.4[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Indemnity<\/b>. The Customer must indemnify Education Perfect on demand against any claim (including regulatory fines) made by any person against Education Perfect for any loss or damage suffered or liability incurred arising directly or indirectly out of the Customer\u2019s use or possession of the Online Learning Tool or any breach of applicable privacy legislation, including the GDPR, by the Customer.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.5[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]Business Purposes<\/b>. If the Customer is subscribing for the Online Learning Tool for the purposes of a business as defined in the Consumer Guarantees Act 1993 (or under equivalent foreign legislation) the Customer agrees that:<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.5.1[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]any guarantees and undertakings applying to Education Perfect under such legislation are excluded to the maximum extent permitted by law; and<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.5.2[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 (NZ) do not apply and that the parties have contracted out of these provisions.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.6[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]No Liability<\/b>. To the maximum extent permitted by law, in entering into these Terms the Customer agrees that Education Perfect shall not be liable for any loss or damage or liability of any kind whatsoever (including consequential loss or lost profit or business) whether suffered or incurred by the Customer or another person and whether in contract, or tort, or otherwise and whether such loss or damage arises directly or indirectly from the Online Learning Tool provided by Education Perfect to the Customer<\/span> and also for any termination of the Subscription Plan pursuant to these Terms<\/span>. Notwithstanding the above, to the extent that Education Perfect is liable for any reason for any loss suffered or liability incurred by the Customer arising from any breach of these Terms or for any other reason, such liability is limited to the amount of the Total Subscription Fee the Customer actually paid to Education Perfect over the last 12 months from the date of notification of the claim by the Customer under these Terms.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_row_inner equal_height=”yes” content_placement=”top”][vc_column_inner width=”1\/6″][vc_column_text]10.7[\/vc_column_text][\/vc_column_inner][vc_column_inner width=”5\/6″][vc_column_text]No liability for termination<\/b>.
